Position Summary
The Tax Counsel provides expert guidance on complex tax matters, supporting business development, strategic planning, and legislative initiatives. This role advises on tax implications of mergers, acquisitions, divestitures, and other transactions, ensuring compliance and alignment with business goals. It involves reviewing and structuring contracts for tax efficiency, collaborating across functions to ensure accurate reporting and risk mitigation. The Tax Counsel also serves as a subject matter expert on federal income tax, staying current on regulatory changes and supporting audits and stakeholder education.
Key Responsibilities:

A Tax Counsel employee will split the majority of their time between business development support, tax planning, technical and legislative support, tax contract review, and any other support the tax organization may need.

Provide expert tax advice and planning strategies for the business on a wide range of tax issues associated with mergers, acquisitions, divestitures, joint ventures, and other transactions. Prepare and review tax-related documents, agreements, and contracts, ensuring accuracy, compliance with relevant tax laws, and alignment with business objectives.

Serve as the primary reviewer of tax-related contracts and agreements, including those involving third-party vendors, intercompany arrangements, and transactional documents.

Ensure contracts are structured in a tax-efficient manner and reflect current legal and regulatory requirements.

Analyze transaction structures and advise on tax-efficient strategies, taking into consideration specific financial objectives and business goals. Identify potential tax risks and opportunities in proposed transactions. May review financial models to ensure tax aspects are captured appropriately.

Collaborate with business units and tax functions such as provision and compliance to ensure transactions are reported timely and accurately, and to support a tax-efficient strategy. May work with industry organizations and government affairs on lobbying efforts.

Develop and implement tax planning strategies that align with business objectives through collaboration with key stakeholders. Advise on international and cross-border tax issues related to global transactions.

Analyze complex tax issues and recommend practical, strategic solutions. Evaluate business operations, transactions, and investments to identify potential tax issues, opportunities, and risk mitigation strategies.

Provide technical tax research and support to the entire organization (e.g., transfer pricing, intercompany transactions, international and cross-border tax issues). May prepare and/or review tax technical memoranda on various transactions and issues.

Stay current with changes in tax laws, regulations, and industry trends, and proactively educate internal stakeholders on potential impacts. Provide training as needed.

Serve as a federal income tax subject matter expert; communicate complex technical tax issues to management and internal stakeholders. Provide support for all audits, particularly IRS CAP.
Minimum Education/Experience Required

Juris Doctorate required

Two (2) plus years of directly applicable experience.

Experience demonstrating developing subject matter expertise with contract review and ensuring compliance with applicable laws

Experience leading some projects from beginning to end with oversight
