Governance Manager
Position Summary:
The Governance Manager plays a key role in ensuring corporate governance, compliance, and documentation excellence across Exscape Group’s acquisition and integration activities. This role serves as the central point of coordination for entity management, contract administration, and regulatory adherence throughout the M&A lifecycle, from diligence through post-close integration. The Governance Manager partners closely with Legal, Accounting, HR, Operations, and IT to ensure that each transaction is executed with precision, transparency, and long-term compliance in mind.
Key Responsibilities:
1) Transaction Governance & Due Diligence
· Manage due diligence workflows by gathering, reviewing, and organizing corporate records, contracts, insurance certificates, and related legal materials.
· Maintain comprehensive deal checklists to track deliverables, deadlines, and compliance milestones throughout each acquisition.
· Coordinate with legal counsel, sellers, and internal stakeholders to facilitate closing documentation and signature management.
· Support execution and retention of NDAs, LOIs, purchase agreements, and other transactional documents.
2) Entity & Regulatory Compliance
· Oversee entity formation, name registrations, and state-level business filings, including EIN setup and certificate renewals.
· File post-close compliance documentation such as name changes, license transfers, and ownership updates.
· Maintain accurate corporate records including board resolutions, organizational charts, and ownership structures.
· Ensure all entities remain in good standing and compliant with applicable state and federal regulations.
3) Contract & Document Management
· Centralize and maintain all customer, vendor, and subcontractor contracts within a searchable repository.
· Review key terms such as renewals, termination rights, insurance provisions, and non-compete clauses to identify ongoing obligations.
· Coordinate with the Contract Administration and Legal teams on contract assignments, notations, and renewal tracking post-acquisition.
· Ensure document control standards are maintained, including versioning, metadata tagging, and access permissions.
4) Cross-Functional Compliance Support
· Partner with HR to validate proper transfer and compliance of employment agreements and policies.
· Collaborate with Accounting and Risk to maintain updated insurance, bonding, and tax registration records.
· Support IT in managing secure document sharing, data rooms, and access controls during due diligence and integration.
5) Governance Process Development
· Contribute to the continuous improvement of governance workflows and documentation standards within the M&A Integration Playbook.
· Maintain and refine standardized templates, checklists, and compliance forms for use across future acquisitions.
· Participate in post-close audits to ensure completion of all legal and compliance deliverables.
· Provide reporting and visibility into entity health, compliance timelines, and document tracking metrics.
6) Other duties as assigned
Qualifications:
- Associate’s or Bachelor’s degree required; advanced training or certification in paralegal studies, corporate compliance, or governance preferred.
- 3+ years of experience in corporate governance, M&A support, or legal operations.
- Strong understanding of entity management, contract administration, and regulatory filing processes.
- Experience in private equity or multi-entity environments preferred.
- Exceptional organizational and project management skills with strong attention to detail.
- Proficient in Microsoft 365, DocuSign, and data room platforms (e.g., ShareFile, Dropbox, etc.).
- Excellent communication and interpersonal skills, with the ability to interface effectively with executives, legal counsel, and third parties.
